Terms of Sale

These Terms of Sale apply exclusively to commercial relations between CaveauFlow and professional customers (B2B). They govern subscription, billing, payment and termination. The conditions for using the platform are set out in the Terms of Use. In the event of a contradiction, these Terms of Sale prevail over the Terms of Use on the matters they govern.
1. Seller and definition of the professional customer

2. Commercial offer
CaveauFlow sells access to its SaaS wine and beverage management platform as a single, all-inclusive annual subscription; every feature is available to all customers, with no tiers:

All prices are stated excluding tax. VAT at the applicable statutory rate (currently 20%) is charged in addition. Full prices and detailed features are available on the caveauflow.com/pricing page.
3. Formation of the contract and order
Subscription takes place online. The contract is formed as soon as the payment is validated and a confirmation email is sent. These Terms of Sale are provided to the customer before any subscription and their acceptance is required to complete the order.
The customer acknowledges that they have the legal capacity to contract and that they act as a professional within the meaning of the preliminary article of the French Consumer Code.
CaveauFlow reserves the right to refuse any subscription without having to give a reason, in particular where fraud is suspected.
4. Prices, VAT and billing
Prices are stated in euros excluding tax. VAT at the applicable statutory rate is added at the time of the order and shown on each invoice.
An invoice is issued at each subscription renewal and is available in the customer area. For customers subject to VAT in another EU member state and holding a valid intra-Community VAT number, the VAT reverse charge applies in accordance with the applicable rules.
Annual subscription: billed in a single payment on subscription, then at each annual renewal.
5. Payment terms
Payment is made by bank card (Visa, Mastercard, American Express) through the secure payment provider Stripe Inc., PCI-DSS certified. Card details are encrypted and are not stored by CaveauFlow.
The debit is automatic at each subscription due date. The customer authorises CaveauFlow to charge their payment method for the amounts due at each renewal.
Late payment: if a debit fails, CaveauFlow sends a reminder by email. If the situation is not regularised within 7 days, access to the service may be suspended. Late-payment penalties equal to 3 times the statutory interest rate apply automatically, in accordance with article L. 441-10 of the French Commercial Code, together with a fixed recovery indemnity of 40 euros.
Receivership / liquidation: if insolvency proceedings are opened against the customer, CaveauFlow reserves the right to terminate the contract automatically.
6. Free trial period
CaveauFlow offers a free trial period of one (1) month from the creation of the account. No bank card is required to start the trial.
Throughout the free trial, the User may cancel at any time, free of charge and with no commitment, from their account area or by writing to contact@caveauflow.com.
Data created during the trial period is kept if a subscription is taken out at the end of the trial, and is deleted under the conditions of article 8 if the trial is cancelled.
7. No right of withdrawal (B2B)
This contract is entered into exclusively between professionals, within the meaning of the preliminary article of the French Consumer Code. The provisions of the Consumer Code relating to the right of withdrawal do not apply to relations between professionals.
Outside the one-month free trial period provided for in article 6, no refund, whether full or partial, is granted in respect of a subscription taken out, including in the event of early termination, non-use of the service or a change of mind by the User. This rule applies from the first debit following the end of the free trial.
On a strictly exceptional basis and at its sole discretion, CaveauFlow may consider a suitable commercial solution (credit note, billing arrangement) on a reasoned request sent to contact@caveauflow.com. That option is purely discretionary, granted case by case, and in no way constitutes an acquired right or a commitment for the future.
8. Term, renewal and termination
The subscription is taken out for a term of one year, renewed automatically by tacit renewal for the same term and at the price then in force, unless terminated under the conditions below.
Notification before annual renewal: CaveauFlow sends the customer a reminder email at least 30 days before the renewal date of any annual subscription, stating the amount that will be charged and setting out the termination procedure.
Termination by the customer, mandatory one (1) month notice: the customer may terminate their subscription at any time by writing to contact@caveauflow.com (or from the « Billing » section of their account area where that feature is available), provided they give at least one (1) month's notice before the annual renewal date. Termination notified within that period ends the automatic renewal at the end of the current period; access to the service remains active until the end of the period already paid for, with no refund of that period (unless article 7 provides otherwise).
Termination by CaveauFlow: CaveauFlow may terminate the contract with 30 days' notice by email, or immediately and without notice in the event of:
- Proven fraud or attempted fraud
- Persistent non-payment after a reminder and a 7-day suspension
- Unlawful use or use contrary to the Terms of Use
- Compromise of the platform's security
- Opening of insolvency proceedings (receivership / liquidation)
Effects of termination: on the effective date, access to the service is cut off. Data can be exported on request within 5 business days, then deleted within 30 days. Payment obligations arising before termination remain payable.
9. Price revision
CaveauFlow reserves the right to revise its prices. Any price increase is notified by email with a minimum of 60 days' notice before the renewal date concerned.
Within that period the customer may terminate their subscription free of charge. Failing termination within that period, the new price is deemed accepted at the next renewal.
10. Availability and service levels
CaveauFlow endeavours to ensure the availability of the service. Unless stated otherwise in a specific contract, no guaranteed SLA (service level agreement) is included in the standard plans.
In the event of a proven and continuous unavailability of the service attributable to CaveauFlow (not linked to force majeure or the failure of a third party), lasting more than 24 consecutive hours, CaveauFlow may, at its sole discretion and on a reasoned request from the customer, grant a goodwill gesture whose nature and amount will be assessed case by case. That gesture does not constitute an acquired right or a contractual obligation.
11. Liability
CaveauFlow's liability is limited to proven direct damage. Under no circumstances is CaveauFlow liable for loss of business, loss of profit, loss of data or indirect damage.
CaveauFlow's total liability under this contract is capped at the amounts paid by the customer over the 12 months preceding the event giving rise to the damage.
12. Force majeure
CaveauFlow cannot be held liable for the non-performance of its obligations in the event of force majeure or an unforeseeable external event, in particular: failure of cloud infrastructure (AWS, Vercel), interruption or modification of third-party APIs (Anthropic, Stripe), cyberattacks, natural disasters, pandemics, armed conflicts, government or regulatory decisions, strikes by telecoms operators or widespread outages of electronic communications networks. 13. Confidentiality and data
The processing of personal data is governed by the Privacy policy. Each customer has an isolated data space. CaveauFlow neither sells nor rents customer data to third parties.
14. Governing law and disputes
These Terms of Sale are governed by French law. In the event of a dispute, the parties undertake to attempt an amicable resolution within 60 days of the written notification.
Failing an amicable agreement, the dispute will be submitted to the exclusive jurisdiction of the Paris Economic Activities Court, unless a mandatory legal provision states otherwise.
These Terms of Sale are drafted in French. In the event of translation, the French version prevails.
